§1. General provisions

1. These Terms and Conditions set out the rules for using the online store available at zenithxr.eu and for concluding sales contracts through it.
2. The store is operated by ZenithXR Cezary Sobociński, ul. Henryka Sienkiewicza 3/1, 62-200 Gniezno, Tax ID 7842554642, REGON 545279537 (hereinafter referred to as the “Seller”).
3. The Terms and Conditions are continuously available on the store website in a form that allows them to be obtained, reproduced and saved (downloaded or printed).
4. Acceptance of these Terms and Conditions is required to use the store, including browsing its range and placing orders.

§2. Definitions

• Consumer : a natural person entering into a legal transaction with the Seller that is not directly related to their business or professional activity.
• Entrepreneur with consumer rights : a natural person conducting a sole proprietorship who enters into a contract directly related to that business where the contract is not of a professional nature for that person. This person is entitled to selected consumer rights, including the right of withdrawal and the rules on conformity of goods with the contract.
• Entrepreneur (B2B) : an entity entering into a contract as part of a professional business activity, including companies, schools, universities and institutions.
• Customer : any entity making purchases in the store.
• Goods : an item offered in the store, including VR/MR/AR headsets, smart glasses, trackers, accessories, other XR devices and related products.
• Sales Contract : a contract concluded between the Customer and the Seller through the store.

§3. Contacting the store

§4. Technical requirements

To use the store, you need a device with internet access, an up-to-date browser that supports cookies and JavaScript, and an active email account. The store uses an encrypted connection (SSL/TLS).

§5. Information about goods and prices

1. Information presented in the store constitutes an invitation to enter into a contract within the meaning of Article 71 of the Civil Code and is not an offer.
2. The prices of goods are stated in Polish zloty (PLN); other currencies may also be available. Consumers are shown gross prices (including VAT). Business customers can access ceny netto (B2C/B2B selector).
3. The price shown for the goods does not include delivery costs. The total price of the order, including delivery, is shown in the basket and on the order summary page before the order is placed.
4. Produkty oznaczone jako “Price on request” do not have a publicly listed price and cannot be purchased directly through the basket. The “Request a quote” form is used to prepare an individual quotation; before accepting the order, we confirm the price, availability and lead time.
5. When the price of goods is reduced, we display next to the promotional price the lowest price for those goods that applied during the 30 days before the reduction was introduced (in accordance with the requirements of the so-called Omnibus Directive). If the goods have been offered for less than 30 days, we show the lowest price since they were first offered.
6. The Seller presents goods accurately and the sale is made by an entrepreneur. Descriptions and technical specifications are based on manufacturers' data.

§6. Account and guest purchases

1. Purchases may be made by creating an account or without registering, as a guest.
2. Creating an account is voluntary and free of charge. The account service agreement is concluded for an indefinite period; the Customer may terminate it at any time by deleting the account or contacting the Seller.
3. The Customer agrees to provide accurate information and not to disclose login details to third parties.

§7. Placing an order

1. The Customer places an order by adding goods to the basket, selecting a delivery and payment method, and providing the information required to process the order.
2. Before placing the order, the Customer confirms that they have read the Terms and Conditions and acknowledges that the order entails an obligation to pay. The button used to complete the order is labelled "Order and pay" (or an equivalent label that clearly indicates the obligation to pay).
3. Placing an order constitutes an offer to conclude a Sales Contract. The contract is concluded when the Seller confirms acceptance of the order on a durable medium, in an email summarising the terms of the order.
4. The Seller may refuse to process an order in the event of an obvious pricing error or if the goods are unavailable. The Seller will inform the Customer and refund any payment already made.

§8. Payment methods and deadlines

1. The Seller makes available the payment methods shown in the order summary, in particular traditional bank transfer to the Seller's bank account, including against a pro forma invoice. Online card payments and instant bank transfers will become available only after the relevant payment provider has been activated and will appear in the order summary. The current list of available payment methods is shown in the order summary each time, before the order is placed.
2. Business and institutional customers may pay against a pro forma invoice (prepayment) or, subject to individual agreement, on deferred payment terms. For schools, other educational establishments and public institutions, the standard deferred payment term is 14 days from the invoice date.
3. Online payments are due when the order is placed. Traditional bank transfers and pro forma invoices are payable by the deadline stated in the payment details, normally within 3 business days. Schools and public institutions using deferred payment terms have 14 days from the invoice date.
4. The Seller issues proof of purchase (an invoice) for every order. Company invoice details are provided when placing the order.
5. Orders may be paid for in Polish zloty (PLN) or another currency made available in the store, including euro (EUR). The selected currency is shown in the basket and order summary before the order is placed.

§9. Order processing and delivery

1. Goods marked as available in the store are prepared and handed over to the carrier within maksymalnie 2 dni roboczych of the order being accepted for fulfilment. If the selected payment method requires prepayment, this period runs from the time the payment is credited. Working days are Monday to Friday, excluding public holidays. The transit time after the parcel is handed over to the carrier is stated separately and is not included in the order preparation time. For products marked as “Price on request” or “made to order”, purchase requires an individual quotation; before accepting the order, we state in the offer the price, availability and maximum preparation time for dispatch, expressed in working days. If the order includes goods with different preparation times, the longest period stated before the order is accepted applies, unless the Customer agrees separate shipments with the Seller.
2. Within Poland, we deliver by courier and to InPost parcel lockers; international shipments are also delivered by other courier companies. The available delivery methods and their costs are shown in the basket before the order is placed.
3. We package higher-priced equipment carefully and send it insured.
4. We notify the Customer by email when the parcel is dispatched and provide a tracking number.
5. Customers are advised to inspect the parcel on delivery. This is not mandatory and does not affect the right to make a complaint, but it makes it easier to pursue any claims against the carrier.

§10. Right of withdrawal (14 days)

1. The 14-day period runs from the date on which the Customer or a third party indicated by the Customer, other than the carrier, takes possession of the goods. Sending the withdrawal notice before the deadline is sufficient to meet it.
2. A withdrawal notice may be submitted in any form, including by email to support@zenithxr.pl or in writing to the Seller's address. The Customer may use the model withdrawal form , but this is optional. The form is available on the Returns and complaints.
3. If the Customer withdraws from the contract, the contract is treated as not concluded. The Seller will refund all payments received, including the cost of the least expensive delivery method offered, promptly and no later than 14 days after receiving the withdrawal notice. The refund will be made using the same payment method used by the Customer, unless the Customer agrees to another method.
4. The Seller may withhold the refund until the goods have been returned or the Customer provides proof that they have sent them back, whichever occurs first.
5. The Customer must return the goods promptly and no later than 14 days after withdrawing from the contract. The Customer bears the direct cost of returning the goods.
6. The Customer is liable for any diminished value of the goods resulting from handling them beyond what is necessary to establish their nature, characteristics and functioning.
7. The right of withdrawal does not apply to contracts including: the supply of digital content not supplied on a tangible medium where performance has begun with the Consumer's express consent before the withdrawal period expires; the supply of sealed goods that are not suitable for return for reasons of health protection or hygiene if they were unsealed after delivery; and the other cases listed in Article 38 of the Consumer Rights Act.

§11. Complaints: conformity of goods with the contract

1. The Seller is obliged to deliver goods that conform to the contract. In relation to Consumers and Entrepreneurs with consumer rights, the Seller is liable for any lack of conformity of the goods with the contract under the Consumer Rights Act.
2. The Seller is liable for any lack of conformity of the goods with the contract that existed at the time of delivery and was disclosed within 2 years of that time. Any lack of conformity disclosed within 2 years is presumed to have existed at the time of delivery.
3. If the goods do not conform to the contract, the Customer may demand repair or replacement of the goods. If the Seller refuses repair and replacement or fails to bring the goods into conformity within a reasonable time or without undue inconvenience, the Customer may demand a price reduction or, where the lack of conformity is material, withdraw from the contract.
4. A complaint may be submitted by email to support@zenithxr.pl or in writing to the Seller's address. Please describe the defect and, if possible, include photographs or a recording and state the remedy requested by the Customer.
5. The Seller will respond to the complaint within 14 days after receiving it. Failure to respond within this period means that the complaint has been accepted.
6. The Seller bears the costs of repair or replacement, including shipping costs associated with an upheld complaint.

§12. Warranty

Goods may be covered by a manufacturer's warranty , normally for 24 months unless otherwise stated for the goods. Warranty rights are independent of the Seller's liability for conformity of the goods with the contract. Making a warranty claim does not deprive the Customer of the rights described in §11. The terms of the warranty are set out by the warrantor (manufacturer) in the warranty document.

§13. Sales to entrepreneurs (B2B)

1. The provisions of §10 and §11 concerning consumer rights also apply to an Entrepreneur with consumer rights, meaning a sole trader making a purchase outside their professional activity.
2. In relation to other Entrepreneurs (B2B), the Seller's statutory warranty liability for defects is excluded under Article 558 §1 of the Civil Code and the right of withdrawal under §10 does not apply. A manufacturer's warranty remains the basis for complaints.
3. Business and institutional customers may receive net pricing and a VAT invoice, quotations for enquiries and tenders, bulk deliveries and, subject to individual agreement, deferred payment terms. In B2B sales, delivery of the goods and the transfer of benefits and burdens occur when the goods are entrusted to the carrier.

§14. Personal data

The Seller is the controller of Customers' personal data. Data is processed to fulfil orders, service accounts, communicate with Customers and comply with legal obligations. Details, including purposes, legal bases, data recipients and Customer rights, are set out in the Privacy policy.

§15. Out-of-court complaint handling and dispute resolution

1. A Consumer may use out-of-court complaint handling and redress procedures, including applying to a Provincial Inspector of the Trade Inspection to initiate proceedings for the amicable resolution of a dispute, or seeking assistance from a district or municipal consumer ombudsman or a social organisation whose statutory objectives include consumer protection.
2. Information about out-of-court consumer dispute resolution is available at the offices and on the websites of the Trade Inspection and the Office of Competition and Consumer Protection (uokik.gov.pl).
3. Use of these procedures is voluntary and requires the agreement of both parties to the dispute.

§16. Waste electrical equipment and batteries (WEEE)

Used equipment and batteries are waste and must not be disposed of with other household waste, as indicated by the crossed-out wheeled bin symbol. A Customer who is a Consumer and buys equipment intended for households may return used equipment of the same type free of charge when new equipment is delivered, under the "1:1" system. Arrangements for returning used equipment are made individually. Please contact: support@zenithxr.pl.

§17. Final provisions

1. Matters not governed by these Terms and Conditions are subject to Polish law, in particular the Civil Code, the Consumer Rights Act and the Act on Providing Services by Electronic Means. These Terms and Conditions do not exclude or limit any Consumer rights arising from mandatory provisions of law.
2. The Seller may amend the Terms and Conditions for valid reasons, such as changes in the law, payment methods or delivery methods. Orders placed before an amendment are governed by the Terms and Conditions in force when the order was placed. Customers who have an account will be notified of amendments in advance.
3. These Terms and Conditions are effective from 12 September 2026.
